Next Level Soul | Partner Program Terms

These Partner Program Terms & Conditions ("Terms") govern your participation in the Next Level Soul Partner Program ("Program"), operated by IFH Industries, Inc. ("Next Level Soul," "we," "us," or "our"). By applying to, joining, or participating in the Program, you ("Partner," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not join the Program.

1. Program Overview
The Program allows approved Partners to earn commissions by referring new members and customers to Next Level Soul TV, Mastery courses, and other eligible products or services ("Eligible Purchases") using a unique referral link provided upon approval.

2. Eligibility
Participation is open to individuals and organizations who apply and are approved by Next Level Soul. We reserve the right to approve, decline, or remove any applicant or Partner at our sole discretion, including for failure to meet these Terms.

3. Enrollment
Joining the Program is free. There are no signup fees or minimum activity requirements. Upon approval, you will receive access to a Partner dashboard, your unique referral link(s), and available marketing materials.

4. Commissions
Partners earn 30% recurring commission on qualifying membership payments and other Eligible Purchases made through their referral link. Commissions apply only to Eligible Purchases as determined by Next Level Soul and are subject to change as described in Section 11. Commissions are not earned on purchases that are refunded, charged back, cancelled, or otherwise deemed ineligible.

5. Referral Tracking
Referrals are tracked using a 120-day first-click cookie window. If a referred visitor completes an Eligible Purchase within 120 days of clicking your referral link, the referral will generally be credited to you, subject to standard tracking limitations (e.g., cleared cookies, ad blockers, or use of another Partner's link in the interim).

6. Payment Terms
Commissions are held for a 60-day validation period from the date of the qualifying transaction, to account for potential refunds, chargebacks, or cancellations. Once validated, approved commissions are paid out monthly via PayPal. Next Level Soul reserves the right to require a minimum payout threshold of $50 before funds are released; balances below this threshold will roll over to the following payout cycle. Partners are responsible for maintaining accurate and current payment information. Next Level Soul is not responsible for payments lost or delayed due to inaccurate Partner information.

7. Partner Responsibilities & Disclosure Requirements
As a condition of participation, Partners agree to:

• Comply with all applicable laws, including the FTC's Guides Concerning the Use of Endorsements and Testimonials, and clearly and conspicuously disclose their financial relationship with Next Level Soul whenever sharing a referral link (e.g., "This is an affiliate link, and I may earn a commission if you sign up").
• Represent Next Level Soul, its content, and its Program accurately and honestly, without making false, misleading, or exaggerated claims.
• Not engage in spam, unsolicited bulk email, or misleading advertising to promote referral links.
• Not bid on Next Level Soul's trademarked or branded terms (including misspellings) in paid search advertising without prior written permission.
• Not use referral links on coupon, deal, or cashback sites without prior written permission.
• Not attempt to generate referrals through self-referral, fraudulent clicks, incentivized clicks, or other manipulative tracking practices.

Violation of these responsibilities may result in forfeiture of unpaid commissions and immediate removal from the Program.

8. Use of Name, Logo & Branding
Partners may use Next Level Soul-approved marketing assets, name, and logo solely for the purpose of promoting the Program, in accordance with any brand guidelines we provide. This limited license terminates automatically upon termination of your Program participation. No other use of Next Level Soul's intellectual property is authorized without separate written consent.

9. Independent Contractor Relationship
Partners participate in the Program as independent contractors, not as employees, agents, joint venturers, or legal representatives of Next Level Soul. Nothing in these Terms creates a partnership, employment, or agency relationship between the parties. Partners are solely responsible for any taxes owed on commissions earned.

10. Tax Reporting
Partners located in the United States who earn commissions above the applicable IRS reporting threshold in a calendar year will be required to submit a completed Form W-9 and may receive a Form 1099. International Partners may be required to submit applicable tax documentation as requested.

11. Modifications to the Program
Next Level Soul reserves the right to modify, suspend, or discontinue the Program, or update these Terms, commission rates, cookie duration, or payment terms, at any time. Material changes will be communicated to active Partners via email or dashboard notice. Continued participation in the Program after such changes constitutes acceptance of the updated Terms.

12. Term & Termination
Either party may terminate participation in the Program at any time, for any reason, with or without notice. Upon termination:

• Your referral link(s) will be deactivated.
• Any commissions earned and validated prior to termination will be paid according to standard payment terms.
• Any pending or unvalidated commissions may be forfeited, particularly in cases of termination for violation of these Terms.

13. Disclaimer of Warranties
The Program is provided "as is." Next Level Soul makes no warranties or guarantees regarding the amount of commissions a Partner may earn, referral conversion rates, or continued availability of the Program.

14. Limitation of Liability
To the fullest extent permitted by law, Next Level Soul shall not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Program, including lost profits or lost commissions.

15. Governing Law
These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law principles, and any disputes shall be resolved in the courts located in Travis County, Texas.
