Welcome to Next Level Soul, Inc. ("Next Level Soul," "us," "our," or "we"). We produce content, videos, training materials, products, services, and/or other materials (collectively along with our titles, features, content, software, updates, audio content, video files, downloadable content, add-ons, and/or modified versions, "Content"), made available on our websites, which include without limitation nextlevelsoul.com, nextlevelsoul.shop and nextlevelsoul.tv among others (collectively the "Site(s)"), and various mobile applications ("Apps"). These terms and conditions (collectively, the "Terms" or "Agreement") define your rights and obligations related to our Sites, Apps, and Content, your purchase, use, or downloading of any of our Content, services or offerings, participation in our events or promotions, and more generally any use of our other products or services (collectively with the Content, Apps, and Sites, the "Services").

Agreement

By using our Services, you agree to be bound by the terms of this Agreement. By entering into this Agreement, you confirm you are an adult of legal age, you understand and accept this Agreement, and you are legally and financially responsible for all actions using or accessing the Services. If you are under the legal age of majority, your parent or legal guardian must consent to this Agreement. If you (or your parent or legal guardian) do not or cannot agree to the terms of this Agreement, you may not use our Services.

This Agreement is a legal agreement between you and us and it describes the terms and conditions for using the Services. By accepting this Agreement, you are also agreeing to our Privacy Policy, which is expressly incorporated in full into this Agreement. Our Privacy Policy describes the types of data we collect from you and your devices, how we use your data, and the legal bases we have to process your data.

We may modify these Terms at any time, and if we do, we will notify you by email or by posting the modified Terms. Please review any modified Terms before you continue using the Services. If you continue to use the Services, you are bound by the modified Terms. If you do not agree to be bound by the modified Terms, then you may not use the Services.

License Grant

Subject to these Terms and your compliance therewith, Next Level Soul grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited right and license to download, play, listen to, display, and use the Content solely for your permitted use within the Services (collectively, the "License").

The Content is licensed, not sold, to you, and you hereby acknowledge that no title or ownership in the Content is being transferred or assigned to you. Next Level Soul retains all rights, title, and interest to the Content, including, but not limited to, all copyrights, trademarks, trade secrets, trade names, proprietary rights, patents, and any other intellectual property rights.

The Content is protected by U.S. copyright and trademark law and any other applicable intellectual property laws and treaties throughout the world. You may not copy, reproduce, alter, modify, or distribute the Content without prior written consent from Next Level Soul. All rights not expressly granted under this Agreement are reserved by Next Level Soul.

Community Guidelines (Code of Conduct)

You agree that you are responsible for your own conduct while using our Services. The following actions are strictly prohibited:

• Commercial exploitation of the Services or Content
• Distributing, leasing, selling, or otherwise transferring the Content
• Modifying or deleting any portion of the Content
• Using the Services or Content to promote third-party causes or services
• Violating intellectual property rights, privacy, or confidentiality of others
• Engaging in harassment, stalking, or spamming of any kind
• Posting sexually explicit, discriminatory, or offensive content

Failure to comply may result in the termination of your account and access to our Services.

Subscription Services and Purchases

Some of our Services and Content may require a subscription. Subscription fees are non-refundable except as required by law. By subscribing, you agree that:

• Subscription fees will automatically renew unless canceled at least 24 hours before the end of the current term.
• You are responsible for maintaining accurate billing information.
• Refunds are not provided for partial subscription periods.

Disclaimer and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NEXT LEVEL SOUL MAKES NO WARRANTIES OR GUARANTEES REGARDING THE PERFORMANCE, SECURITY, OR RELIABILITY OF THE SERVICES. WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF OUR SERVICES. YOUR PARTICIPATION IN ANY FITNESS, MEDITATION, OR WELLNESS PROGRAMS FEATURED IN OUR CONTENT IS ENTIRELY AT YOUR OWN RISK. PLEASE CONSULT YOUR PHYSICIAN BEFORE PARTICIPATING IN ANY EXERCISE PROGRAMS OR GUIDED PRACTICES.

NEXT LEVEL SOUL DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT PROVIDED. ANY ACTION YOU TAKE BASED ON THE CONTENT IS AT YOUR OWN RISK. WE DISCLAIM LIABILITY FOR ANY PERSONAL INJURY, EMOTIONAL DISTRESS, PROPERTY DAMAGE, OR OTHER CONSEQUENCES ARISING OUT OF THE USE OF OUR SERVICES.

IN NO EVENT SHALL NEXT LEVEL SOUL OR ANY OF ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY ARISING FROM YOUR USE OF THE SERVICES. THIS LIMITATION SHALL APPLY EVEN IF NEXT LEVEL SOUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnity

You agree to indemnify and hold harmless Next Level Soul, its officers, employees, agents, and affiliates from any claims, damages, liabilities, and expenses arising from your violation of this Agreement or misuse of the Services.

Termination

We reserve the right to suspend or terminate your access to the Services at our sole discretion if you violate these Terms or create risk or legal exposure for us.

Governing Law

This Agreement is governed by the laws of the State of Texas, United States. Any disputes arising under these Terms shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

Severability

If any provision of this Agreement is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement

This Agreement constitutes the entire agreement between you and Next Level Soul with respect to the Services and supersedes all prior or contemporaneous communications and proposals.

Miscellaneous

Failure by Next Level Soul to enforce any provision of this Agreement shall not be construed as a waiver of any provision or right.

Waiver

Any waiver of any provision of this Agreement will be effective only if in writing and signed by an authorized representative of Next Level Soul.

Your 30-Day Right to Opt Out

You have the right to opt out of binding arbitration within 30 days of accepting these Terms by notifying us in writing at our provided contact address.

Class Action Waiver

You agree that any disputes or claims must be brought individually and not as a plaintiff or class member in any purported class action or representative proceeding.

Who May Use Our Services

The Services are intended for users over the age of 18. By accessing or using our Services, you affirm that you meet this requirement.

Links to Third Party Sites

Our Services may include links to third-party websites for your convenience. We are not responsible for the content, accuracy, or policies of such third-party sites.

Please Note

We do not accept any unsolicited books, pitches, gifts, letters, or other submissions. Any such materials sent to Next Level Soul will be destroyed and will not be acknowledged or returned. Please refrain from sending any unsolicited materials. Thank you for your understanding.
