Welcome to Next Level Soul ("Next Level Soul," "us," "our," or "we"). We produce content, videos, training materials, products, services, and/or other materials (collectively along with our titles, features, content, software, updates, audio content, video files, downloadable content, add-ons, and/or modified versions, "Content"), made available on our websites, which include without limitation nextlevelsoul.com, nextlevelsoul.shop, and nextlevelsoul.tv among others (collectively, the "Site(s)"), and various mobile applications ("Apps").
These Terms and Conditions (the "Terms" or "Agreement") define your rights and obligations related to our Sites, Apps, and Content, your purchase, use, or downloading of any of our Content, Services or offerings, participation in our events or promotions, and more generally any use of our other products or services (collectively with the Content, Apps, and Sites, the "Services").
Agreement
By using our Services, you agree to be bound by this Agreement. You confirm you are of legal age, you understand and accept this Agreement, and you are legally and financially responsible for all actions using or accessing the Services. If you are under the age of majority, your parent or legal guardian must consent to this Agreement.
By accepting these Terms, you are also agreeing to our Privacy Policy, which is expressly incorporated herein and describes the data we collect, how we use it, and your rights.
We may modify these Terms at any time, and continued use of our Services constitutes acceptance of those modifications.
License Grant
Subject to these Terms and your compliance with them, Next Level Soul grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited right and license to download, play, listen to, display, and use the Content solely for your permitted use within the Services.
The Content is licensed, not sold, and all rights remain with Next Level Soul.
Consent to Data Collection and Tracking
By using our Services, you expressly consent to the collection, use, and disclosure of data through cookies, analytics tools, advertising pixels (including Meta/Facebook, Google, and other third-party technologies), and similar tracking technologies. You acknowledge that these third-party technologies may collect, store, and process your interactions with our Sites or Apps, and you consent to such activities.
Next Level Soul does not control third-party services and disclaims responsibility for their acts or omissions.
Community Guidelines (Code of Conduct)
You agree that you are responsible for your conduct while using our Services. The following are strictly prohibited:
Commercial exploitation of the Services or Content.
Distributing, leasing, selling, or otherwise transferring the Content.
Modifying or deleting any portion of the Content.
Using the Services or Content to promote third-party causes or services.
Violating intellectual property rights, privacy, or confidentiality of others.
Harassment, stalking, or spamming.
Posting sexually explicit, discriminatory, or offensive content.
Violation may result in termination of your account.
Subscription Services and Purchases
Subscription fees automatically renew unless canceled at least 24 hours before the end of the current term.
Subscription fees are non-refundable except as required by law.
Refunds are not provided for partial subscription periods.
You are responsible for maintaining accurate billing information.
Disclaimer and Limitation of Liability
The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Next Level Soul makes no warranties or guarantees regarding the performance, security, or reliability of the Services.
Your participation in any fitness, meditation, or wellness programs is at your own risk. Please consult your physician before participating.
Limitation of Damages: To the fullest extent permitted by law, any claim is limited to the total amount of fees you paid to Next Level Soul in the twelve (12) months immediately preceding the claim. You waive the right to recover statutory damages, multiplied damages, or penalties, except where such waiver is expressly prohibited by law.
Next Level Soul shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, even if advised of the possibility of such damages.
Indemnity
You agree to indemnify and hold harmless Next Level Soul, its officers, employees, agents, and affiliates from any claims, damages, liabilities, and expenses arising from your violation of this Agreement or misuse of the Services.
Third-Party Disclaimer
Our Services may include links, integrations, pixels, or code from third-party services such as Meta/Facebook or Google. These third parties may collect, process, or share data as part of their services.
You acknowledge and agree that:
Next Level Soul does not control or endorse any third-party sites or services.
We are not responsible for the content, accuracy, policies, security, or practices of such third parties.
Your interactions with third-party sites or services are solely between you and those third parties, and are entirely at your own risk.
By continuing to use our Services, you expressly consent to such integrations and release Next Level Soul from any liability related to third-party tracking, collection, or processing of your information.
- You agree not to make, publish, or communicate any false, misleading, or disparaging statements about Next Level Soul, its officers, employees, affiliates, or Services. This restriction does not prevent you from providing truthful information in legal or regulatory proceedings, or as otherwise required by law.
Termination
We reserve the right to suspend or terminate your access to the Services at our sole discretion if you violate these Terms or create legal exposure for us.
Modification of Services
Next Level Soul reserves the right to modify, suspend, or discontinue the Services or any part thereof at any time, without liability to you. We may also impose limits on certain features or restrict access to parts or all of the Services without notice or liability.
Force Majeure
Next Level Soul shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, power or internet failures, cyberattacks, pandemics, labor disputes, government actions, or restrictions imposed by third-party platforms or service providers.
Governing Law and Arbitration
This Agreement is governed exclusively by the laws of the State of Texas, United States, without regard to conflict of law principles.
All disputes shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The sole and exclusive seat and venue for arbitration shall be Travis County, Texas. You and Next Level Soul waive any objection to venue outside Texas.
Injunctive Relief
Notwithstanding the arbitration provision above, Next Level Soul may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property, confidential information, or other proprietary rights.
Attorneys’ Fees
In any arbitration or legal proceeding arising out of or relating to these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs, except where prohibited by law.
Mandatory Notice and Cure Period
Before initiating arbitration, you must provide written notice of your claim to Next Level Soul at the mailing address below and allow thirty (30) days for us to investigate and, if applicable, resolve the issue. If we cure the issue during that period, you agree not to pursue arbitration.
Limitation on Time to Bring Claims
Any claim or cause of action arising out of or related to these Terms or the Services must be filed within one (1) year after such claim or cause of action arose, or it is permanently barred, unless a longer period is required by law.
Class Action and Mass Arbitration Waiver
You agree that any disputes must be brought individually. You waive the right to participate in any class action, consolidated, coordinated, or mass arbitration proceeding. The AAA Supplementary Rules for Mass Arbitrations shall not apply.
Who May Use Our Services
The Services are intended for users over the age of 18. By accessing or using our Services, you affirm that you meet this requirement. If you are under 18, you may only use the Services with the involvement and consent of a parent or legal guardian, who accepts full responsibility for your use.
By using our Services, you further represent and warrant that you are legally permitted to enter into this Agreement, and that your use complies with all applicable laws in your jurisdiction.
Export and Compliance
You agree not to use or access the Services in violation of any applicable export laws or regulations. You represent that you are not located in a country or region subject to U.S. government sanctions or designated by the U.S. government as a “terrorist supporting” country, and that you are not listed on any U.S. government list of prohibited or restricted parties.
Severability
If any provision of these Terms is found unlawful, void, or unenforceable, it shall not affect the validity of the remaining provisions.
Survival
The provisions relating to indemnity, disclaimer, limitation of liability, governing law, arbitration, class action and mass arbitration waiver, assumption of risk, and any other provisions that by their nature should survive termination shall survive termination of these Terms and continue in full force and effect.
Entire Agreement
This Agreement constitutes the entire agreement between you and Next Level Soul regarding the Services and supersedes all prior or contemporaneous communications.
Integration with Policies
The Privacy Policy, Affiliate Disclaimer, and all other disclaimers posted on our Sites are incorporated into these Terms as if fully set forth herein.
No Third-Party Beneficiaries
These Terms are for the benefit of you and Next Level Soul only. No third party shall have any rights to enforce these Terms.
Who May Use Our Services
The Services are intended for users over the age of 18. By accessing or using our Services, you affirm that you meet this requirement.
User Representations and Warranties
By using the Services, you represent and warrant that your use complies with all applicable laws and regulations, and that you will not use the Services for any unlawful purpose. You further represent that all information you provide to Next Level Soul is accurate and complete to the best of your knowledge.
Links to Third Party Sites
Our Services may include links to third-party websites for your convenience. We are not responsible for the content, accuracy, or policies of such third-party sites.
Language
These Terms are drafted in English. Any translations of these Terms are provided for convenience only. In the event of any inconsistency between the English version and a translated version, the English version shall control.
